Terms of Service

These Terms of Service are a legal agreement between you and Web Tracking Services, LLC, a South Carolina limited liability company, concerning your use of the Web-Stat website analytics service. In these Terms, Web Tracking Services, LLC may be referred to as “Web-Stat,” “we,” “us,” or “our,” and the Web-Stat websites, applications, tracking technology, reports, integrations, and related services are collectively referred to as the “Service.”
By creating a Web-Stat account, installing or enabling Web-Stat on a website, purchasing a subscription, accessing Web-Stat reports, or otherwise using the Service, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, you must not use the Service.
If you use the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to accept these Terms on its behalf. In that case, the words “you” and “your” refer to that entity as well as to the individual using the Service.
You must be at least 18 years old, or the age of legal majority where you live, to create an account or purchase a subscription. The Service is intended for businesses, website operators, and other persons capable of entering into a binding agreement.
You agree to provide accurate and current account information and to keep it updated. You are responsible for maintaining the confidentiality of your login information and for all activity performed through your account.
You must notify us promptly if you believe your account has been accessed without authorization. Web-Stat will never ask you to send your account password by email or through a support request.
You may not sell, transfer, or share access to your account in a way that allows an unauthorized person to use the Service. You remain responsible for anyone whom you authorize to access your account or reports.
Subject to these Terms and any applicable subscription requirements, Web-Stat grants you a limited, non-exclusive, non-transferable, and revocable right to use the Service for your own legitimate business or personal website analytics purposes.
This right does not give you ownership of the Service or any Web-Stat software, tracking code, reports, interface, documentation, trademarks, or other technology.
You may install or enable Web-Stat only on websites that you own, operate, or are authorized to manage. You are responsible for your use and configuration of the Service and for ensuring that your use complies with all laws and regulations applicable to you and your website visitors.
Depending on your location, your visitors, and the features you enable, your responsibilities may include:
- Describing your use of Web-Stat in your website's privacy policy
- Disclosing the categories of information collected through Web-Stat
- Obtaining consent before Web-Stat's analytics technologies are loaded when consent is required
- Providing visitors with any notices, choices, and privacy rights required by law
- Using IP anonymization or other privacy settings when appropriate
- Honoring applicable requests to access, correct, or delete visitor information
Web-Stat may provide settings and information intended to help with privacy compliance, but we cannot determine which legal requirements apply to your website. You remain responsible for selecting and configuring the Service appropriately.
As between you and Web-Stat, you retain your rights in the website analytics information processed through your account. You authorize Web-Stat to collect, transmit, store, analyze, and otherwise process that information as necessary to provide, secure, support, and improve the Service and to comply with applicable law.
When Web-Stat processes website visitor information on your behalf, you determine the purposes for which the Service is used and are responsible for having a lawful basis for that processing. Our handling of personal information is further described in our Privacy Policy.
You must not intentionally transmit passwords, complete payment card numbers, authentication credentials, medical or health information, government identification numbers, or other highly sensitive information through page names, URLs, custom fields, conversion data, or other analytics fields.
You agree not to use the Service to:
- Violate any law, regulation, court order, or the rights of another person
- Monitor a website or collect information without the authorization required to do so
- Harass, stalk, discriminate against, or unlawfully profile another person
- Transmit malware, malicious code, or material intended to interfere with the Service
- Attempt to gain unauthorized access to another account, system, or network
- Circumvent traffic limits, access restrictions, security measures, or subscription requirements
- Reverse engineer, copy, modify, resell, sublicense, or commercially exploit the Service except where expressly permitted by law or by Web-Stat
- Use automated requests or other methods that place an unreasonable burden on the Service
- Use the Service in a manner that could damage Web-Stat, our infrastructure, our providers, or other customers
Web-Stat may offer free plans, paid plans, trials, and additional services. The features, prices, billing periods, and traffic or usage limits applicable to a plan are those displayed when you select the plan or shown in your account.
Accounts may be subject to monthly traffic or usage limits. If an account reaches its limit, Web-Stat may suspend or reduce data collection, report availability, or other features until the limit resets or the account is moved to a plan with a higher limit. Data that was not collected while an account was over its limit cannot be recovered.
We may add, remove, or modify features and may change the limits applicable to free plans. Changes to paid plans will be handled as described under Fees and Billing below.
A trial may be subject to additional conditions displayed when it begins. Unless otherwise stated, a trial is available only once per customer or website. We may modify or end a trial offer at any time without affecting a trial that has already begun.
If a trial requires a payment method and is described as automatically converting to a paid subscription, the applicable subscription fee may be charged when the trial ends unless you cancel before that time.
You agree to pay the fees and applicable taxes associated with the plan you select. Except where otherwise stated, subscription fees are charged according to the billing period shown at the time of purchase.
For recurring subscriptions purchased directly from Web-Stat, you authorize us and our payment processor to charge the applicable subscription fees to your selected payment method until the subscription is canceled. You are responsible for keeping your billing and payment information current.
Subscriptions purchased through Wix, Shopify, PayPal, or another third-party platform may be billed and administered by that provider. Its billing terms, payment methods, renewal rules, and procedures may also apply to the transaction.
We may change subscription prices prospectively. When required, we will provide advance notice, and the new price will apply beginning with a future renewal period. Continuing the subscription after the new price takes effect constitutes acceptance of that price.
If a payment is declined, overdue, reversed, or otherwise unsuccessful, we may suspend or downgrade the affected account until payment is received. Suspension does not eliminate amounts already owed.
A recurring subscription renews automatically for successive billing periods unless it is canceled before the applicable renewal date. The renewal fee will be based on the plan and price then applicable to your subscription, subject to any notice required by law.
A prepaid, fixed-term subscription does not automatically renew unless automatic renewal was expressly disclosed when it was purchased.
You may cancel a subscription purchased directly from Web-Stat through the available account settings or by contacting us. To prevent a new recurring charge, the cancellation must be completed before the next billing event.
If your subscription was purchased through Wix, Shopify, PayPal, or another third-party provider, you may be required to cancel it through that provider. Removing the Web-Stat tracking code from your website does not by itself cancel a paid subscription.
Unless otherwise required by law or expressly stated in a refund or money-back guarantee presented when you purchased the Service, fees already paid are non-refundable and are not prorated for a partially used billing period. After cancellation, paid features may remain available until the end of the period for which payment has already been made.

You agree that we may send you operational communications concerning your account, including security alerts, billing notices, invoices, traffic-limit warnings, service announcements, and changes that materially affect your subscription or these Terms.
You may unsubscribe from promotional communications, but you cannot opt out of messages reasonably necessary to operate or administer an active account.
The Service may interact with websites, applications, payment processors, hosting providers, or platforms such as Wix and Shopify. Those third parties operate independently and may impose their own terms and privacy policies.
Web-Stat is not responsible for a third party's services, security, availability, decisions, or changes to its technology or policies. An integration may become unavailable or function differently if the third party changes or discontinues the access on which the integration depends.
We work to provide useful and reliable analytics, but no website analytics service can record every visit or event with complete accuracy. Results may be affected by browser settings, consent choices, blocked cookies or scripts, network failures, security software, content blockers, robots, device limitations, incorrect installation, third-party platforms, and other factors outside our control.
Statistics, geographic locations, visitor classifications, conversion data, uptime measurements, and other reports are estimates based on the information available to the Service. You should not rely on Web-Stat as the sole source for financial, legal, tax, security, emergency, or other decisions requiring guaranteed accuracy.
The Service may occasionally be interrupted for maintenance, upgrades, security work, technical failures, or circumstances beyond our control. We do not guarantee that the Service will always be available, uninterrupted, timely, secure, or error-free.
Web-Stat and its licensors own all rights, title, and interest in the Service, including its software, tracking technology, design, reports, documentation, trademarks, trade names, copyrights, databases, inventions, know-how, and other intellectual property.
These Terms do not grant you any right to use the Web-Stat name, logo, trademarks, or branding except as necessary to identify your legitimate use of the Service.
If you voluntarily provide suggestions or feedback about the Service, you authorize us to use that feedback without restriction or compensation to you.
We may update, modify, suspend, or discontinue all or part of the Service. When reasonably practical, we will provide advance notice of a material change that significantly reduces the core functionality of a paid subscription.
Web-Stat is not a data backup or archival service. You are responsible for exporting any reports or information that you wish to retain. Information may no longer be available after an account expires, is canceled, or is deleted.
We may suspend, restrict, or terminate an account if:
- You violate these Terms or applicable law
- Required fees remain unpaid
- Your use creates a security risk or may harm the Service or another person
- We reasonably suspect fraud, abuse, or unauthorized activity
- We are required to do so by law or by a third-party platform through which the Service is provided
- Continuing to provide the Service is no longer reasonably practical
When circumstances permit, we will attempt to notify you and provide an opportunity to correct the issue before terminating an account. We may act immediately when necessary to protect the Service, comply with law, prevent harm, or respond to fraud or a security threat.
You may stop using the Service at any time. Ending your use of the Service does not relieve you of payment obligations incurred before termination. Provisions that by their nature should continue after termination, including provisions concerning ownership, payment obligations, disclaimers, liability, indemnification, and dispute resolution, will remain in effect.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WEB-STAT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
WEB-STAT DOES NOT WARRANT THAT THE SERVICE WILL MEET ALL OF YOUR REQUIREMENTS, RECORD EVERY VISIT OR EVENT, PRODUCE COMPLETELY ACCURATE RESULTS, OR OPERATE WITHOUT INTERRUPTION OR ERROR.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply only to the extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Web-Stat AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, OR DATA, ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEB-STAT'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO WEB-STAT FOR THE SERVICE DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR 100 US DOLLARS.
These limitations apply regardless of the legal theory on which a claim is based. They do not apply to liability that cannot lawfully be excluded or limited.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Web-Stat and its owners, officers, employees, agents, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from your website, your use or configuration of the Service, your violation of these Terms, your violation of applicable law, or your infringement of another person's rights.
These Terms and any dispute arising from them or from the Service are governed by the laws of the State of South Carolina, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any legal proceeding arising from or relating to these Terms or the Service must be brought exclusively in the state or federal courts serving Charleston County, South Carolina, and you consent to the jurisdiction and venue of those courts.
We may update these Terms to reflect changes to the Service, our business practices, or applicable law. When we do, we will revise the Last updated date at the top of this page.
If a change materially affects your rights or obligations, we may provide additional notice through the Web-Stat website, within your account, or by email. Your continued use of the Service after revised Terms take effect constitutes acceptance of the revised Terms where permitted by law. If you do not agree to the revised Terms, you must stop using the Service and cancel any active subscription.
These Terms, together with the Privacy Policy and any plan-specific or purchase terms presented to you, constitute the entire agreement between you and Web-Stat concerning the Service.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the greatest extent permitted and the remaining provisions will remain in effect.
Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the Service.
Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and Web-Stat.
